Terms and Conditions

1. Scope

These Terms and Conditions apply to all contracts, deliveries, and services between YRDZ 360 (hereinafter referred to as “Contractor”) and the client (hereinafter referred to as “Client”), unless otherwise expressly agreed in writing.

2. Contract Conclusion

A contract is concluded upon written acceptance of an offer or a written confirmation of order. Verbal agreements require written confirmation to be valid.

3. Scope of Services

The scope of services is defined in the offer, service description, or project agreement. Modifications or extensions must be agreed upon in writing by both parties.

4. Performance Period / Delays

Performance periods are non-binding unless explicitly agreed otherwise. In the event of force majeure, strikes, unforeseen delays in delivery, or adverse weather conditions at the shipyard, deadlines shall be extended accordingly.

5. Client Obligations

The Client shall ensure access to work areas and provide all necessary information, documents, and preconditions in a timely manner. Delays caused by missing cooperation may result in additional charges.

6. Fees and Payment Terms

Fees are based on the agreed offer or defined day/hourly rates.
Invoices are due within 14 days of issuance, without deductions.
In case of payment delay, YRDZ 360 is entitled to charge statutory interest and reminder fees.

7. Travel & Additional Costs

Travel, accommodation, and logistical expenses (e.g. material transport, visa, customs) will be invoiced separately unless otherwise agreed in writing.

8. Acceptance & Warranty

Upon completion of work, a joint inspection and acceptance protocol shall be conducted.
Defects must be reported immediately in writing. Warranty is governed by statutory provisions but limited to 12 months unless otherwise defined for construction-related work.

9. Liability

YRDZ 360 shall only be liable for damages caused by intent or gross negligence. Liability for minor negligence is excluded unless it concerns essential contractual obligations.
In any case, liability is limited to foreseeable and typical damages.

10. Confidentiality & Data Protection

Both parties agree to keep all business-related information confidential.
YRDZ 360 processes personal data in accordance with the applicable data protection regulations (e.g. GDPR).

11. Use of Subcontractors

YRDZ 360 reserves the right to engage qualified subcontractors for the execution of services. The Contractor remains responsible for proper performance.

12. Jurisdiction & Applicable Law

German law shall apply.
Place of jurisdiction – where legally permissible – is Hamburg, Germany.

13. Severability Clause

Should any provision of these Terms be or become invalid, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the intended commercial purpose.
